ARTICLE IX.
MEETINGS
Section 1.
Medical Staff Meetings

Regular meetings
of the Medical Staff shall be held quarterly. Quarterly
meetings of the Medical Staff shall be held on the third
Wednesday in September, December, March and June. The
President of the Medical Staff shall have the discretion to
re-schedule regular meetings of the Medical Staff, in his or
her sole discretion, for good cause. The President of the
Medical Staff shall provide advance written notice
specifying the date, time, and place of each quarterly
meeting to all Medical Staff members.

Special meetings
of the Medical Staff may be called by the President of the
Medical Staff, by a majority vote of the Executive
Committee, or at the written request of any twenty-five (25)
members of the Medical Staff who are eligible to vote. The
President of the Medical Staff shall provide reasonable
advance written notice to all Medical Staff Members of the
date, time, and place of the special meeting, as well as the
purposes for which the special meeting is being called.
Discussion and actions taken at a special meeting shall be
confined to the purposes as stated in the written notice.

The attendance
at Medical Staff meetings shall be required of all voting
members of the Medical Staff. All non-voting members of the
Medical Staff are encouraged to attend and participate
actively at Medical Staff meetings.

Unless the
President of the Medical Staff, for good cause, elects
otherwise, the agenda for regular quarterly meetings of the
Medical Staff shall include:

call to order;
-
approval of the
minutes of the preceding quarterly Medical Staff meeting and
any special meetings;

consideration of
unfinished business;
-
announcements,
presentations, and informational programs;
-
report of the
actions of the Executive Committee by the Secretary;
-
report of
standing and special committees;
-
report of the
Medical Director;
-
report of the
Executive Director;
-
new business;
and
-
adjournment.
The agenda for
any special meeting shall include:

reading of the
notice for which the meeting was called;
-
consideration of
the business for which the meeting was called; and
-
adjournment.
Meeting shall be
conducted in accordance with Robert's Rules of Order.

The action of a
majority of Medical Staff members present at a Medical Staff
meeting at which a quorum is present shall constitute the
action of the Medical Staff. Unless otherwise provided
herein, a quorum at any Medical Staff Meeting shall require
the presence of at lease thirty-five (35) members of the
Medical Staff who are eligible to vote.

Minutes shall be
prepared of each Medical Staff meeting, and shall include a
record of the attendance or absence of each Medical Staff
member and the vote taken on each matter before the Medical
Staff. The minutes shall be approved by the Medical Staff at
its next meeting and, following such approval, the minutes
shall be forward to the Office of the Medical Staff.
Section 2. Committee
Meetings

All Standing
Committees shall meet at the call of the Committee Chair,
unless otherwise provided herein. Meetings may be held
telephonically or electronically, at the discretion of the
Committee Chair. A special meeting of any committee may be
called by or at the request of the Committee Chair, the
President of the Medical Staff, or the Medical Director.

The action of a
majority of committee members present at a committee meeting
at which a quorum is present shall constitute the action of
a committee. A quorum at any committee meeting shall require
the presence of at least fifty (50) percent of the committee
members, but in no event, less than two (2) members.

Minutes shall be
prepared of each committee meeting, and shall include a
record of the attendance or absence of each committee member
and the vote taken on each matter before the committee. The
minutes shall be approved by the committee at its next
meeting and, following such approval, the minutes shall be
forwarded to the Office of the Medical Staff.

The attendance
of committee members at committee meetings shall be
required. It shall be mandatory for each committee member to
attend not less than fifty (50) percent of committee
meetings in a year, and the failure to do so, unless excused
by the Committee Chair for good cause, may be grounds for
removal from the committee.

The Committee
Chair shall recommend individuals to serve on any committee
and shall also recommend whether individuals should be
removed from any Committee. Committee members shall serve at
the discretion of the President of the Medical Staff.
